Anthropic plans IPO: CommSec to serve as lead manager for Australian retail offering
If Anthropic's IPO proceeds, CommSec will serve as the lead manager for its Australian retail share offering, but Anthropic will not list on the Australian Securities Exchange; the shares will trade on Nasdaq after the IPO closes. Australian retail investors can subscribe for newly issued Class A ordinary shares through the local offering; participating institutions also include Bell Potter, Macquarie, Morgan Stanley Wealth Management, Stake and others. The IPO's retail offering is also expected to cover Canada, Japan, the UK and several European countries, and regulatory registrations in many jurisdictions have not yet taken effect.
Body
Reuters reported on November 3, 2026 that CommSec will act as lead Australian retail broker for Anthropic’s proposed Australian retail share offer if the IPO proceeds, giving local investors a potential route into the Claude developer’s public offering.
CommSec, the Commonwealth Bank of Australia’s broking unit, said Anthropic is expected to include the offer in a prospectus to be filed with the country’s corporate regulator. The company will not apply for a listing on the Australian Securities Exchange, and the shares would trade on Nasdaq after the IPO closes.
The arrangement separates retail distribution from the listing venue: Australians could apply through a local offer while the shares trade in the United States, rather than through an Australian listing.
Australian Brokers and Application Process
Anthropic’s official list of international retail brokers and selling agents names Bell Potter, CommSec, LGT Wealth, Macquarie, Morgans, Morgan Stanley Wealth Management, Sharesies and Stake as the firms expected to participate in Australia. CommSec’s lead role sits within that broader distribution group.
If the IPO proceeds, the Australian offer would comprise newly issued Class A common shares and be made under an Australian prospectus lodged with the Australian Securities and Investments Commission. The prospectus will be published on Anthropic’s IPO website when the retail offer opens.
Applicants will need to complete the form included with or accompanying the prospectus, following its stated process and any instructions from their broker. Anthropic has not authorized any other firm or platform in the listed jurisdictions to offer shares or advertise access to the proposed retail offerings, and it will update the page if the list changes.
International Scope and Outstanding Steps
Beyond Australia, the proposed IPO is expected to include retail offerings in Canada, Denmark, Finland, France, Germany, Ireland, the Netherlands, Norway, Spain, Sweden, Japan, Switzerland and the United Kingdom. Anthropic does not currently intend to list its Class A common stock on exchanges in those international jurisdictions.
Distribution arrangements vary by market. RetailBook is acting as the United Kingdom’s Public Offer Platform operator and coordinating that retail offer, while separate expected distribution groups cover Canada, the European Economic Area and Switzerland, and Japan.
Regulatory steps remain outstanding in several jurisdictions. Canada’s amended preliminary prospectus remains subject to completion or amendment, and no securities can be sold or purchase offers accepted until a receipt for the final prospectus has been issued. Registration statements in Japan and the United States have also been filed but are not yet effective, preventing sales or acceptance of purchase offers under those processes before effectiveness.
The Australian plan pairs a defined distribution route with an offshore listing, but it does not yet create an open offer. CommSec’s leadership and the wider broker list will matter only if the IPO proceeds and the Australian prospectus becomes available for applications.
