Anthropic's much-anticipated initial public offering is giving potential investors some perspective on the risky business of artificial intelligence.

More than 90 pages of Anthropic's IPO prospectus, revealed Monday, center on the AI lab's multitude of corporate risk factors, many of which go beyond the kinds of boilerplate scenarios typically found in corporate filings.

From the end of humanity to the company's current clash with the Trump administration, Anthropic's IPO document underscores how one of the most well-capitalized startups in history foresees the future of its operations.

Anthropic's IPO gets existential

The Claude maker's risks include a laundry list of ways its models can cause harm, including potentially "catastrophic or existential risks to humanity."

It's imperative for Anthropic to emphasize AI safety because failure to do so could adversely affect its "brand, business, financial condition, and results of operations," the filing said. But fierce competition, market pressure and stakeholder expectations make the task of safely developing and implementing bleeding-edge foundation models particularly challenging.

Anthropic can't guarantee that its AI safety efforts will be adequate, as the technology's inherent complexity makes it difficult for the company to plan for and predict every potential scenario.

Feeling the data center heat

The public's souring position on data centers poses a major risk for Anthropic, which relies on an ever-expanding portfolio of state-of-the-art computing facilities to train and maintain its prized foundation models.

And with the midterm elections approaching, the tech industry's massive data center buildout has turned political, with lawmakers in 16 states considering moratoriums, according to the National Conference of State Legislatures.

"Opposition to data center development has also become more organized and coordinated across jurisdictions and our public profile may draw particular attention to projects associated with us," the filing said.

Power problems

Anthropic's future success depends not only on building giant data centers, but also on the electrical and related power infrastructure needed to juice those computing facilities.

The lack of "sufficient electrical power" across the nation and world poses big risks to Anthropic and its rivals, the filing notes. Even if energy becomes more readily available through "on-site natural gas-fired generation," that power could become more expensive with so much demand, the filing said.

The kids are not alright

Rivals like OpenAI and Meta have come under fire from lawmakers and plaintiffs' attorneys over allegations that the design and implementation of their AI models and apps have fostered certain child-safety-related harms. Meta recently agreed to pay roughly $17 billion in a settlement with multiple state AGs in litigation involving child mental health and technology addiction.

Anthropic knows it has work to do protecting children "as adoption of our models grows, including by minors and other vulnerable users, notwithstanding our efforts to restrict such access."

No slowpokes

The company calling to pace the frontier also says it's a risk to move too slowly.

Anthropic needs to keep racing and needs the rest of the business world to keep up. If companies curb their AI spending, Anthropic could feel the burn.

"If the market for our models, platform, and applications develops more slowly than we expect or declines, our growth may slow or stall, and our business, financial condition, and results of operations could be adversely affected," the filing says.

The prospectus also cites reduced demand for frontier models as a risk. Customers might find that lower-cost models work fine for them and that "incremental performance gains at the frontier do not justify the additional cost," instead choosing cheaper, or open-source alternatives.
